Terms and Conditions for Video Production Services

1. Acceptance of Terms

By engaging in a contract or agreement with Peterborough Films, hereinafter referred to as "the Company," you agree to be bound by the following terms and conditions. Please read these terms carefully before entering into any agreement for video production services.

2. Definitions

a. "Client" refers to the party or individual contracting the services of the Company. 

b. "Project" refers to the specific video production or related services as outlined in the agreement. 

c. "Deliverables" refers to the final video(s) or related materials produced as part of the Project.

3. Payment and Fees

a. Payment Terms: Payment for video production services shall be as outlined in the agreement. The Client agrees to make payments as specified, which may include an initial deposit, milestone payments, and a final payment upon project completion.

b. Termination Fees: In the event of project termination by the Client within one (1) week of the scheduled start date, the Client shall be liable to pay fifty percent (50%) of the total project estimate as compensation for preparation, work already undertaken and potential project-related costs. If the project is terminated within twenty-four (24) hours of the scheduled start date, the Client shall be liable to pay the entire cost of the project estimate as compensation for preparation, work undertaken, and potential project-related costs. No refunds will be issued.

4. Project Timeline

a. Schedule: The Company will work with the Client to establish a project timeline. Any delays caused by the Client may result in adjustments to the timeline, and the Company shall not be held liable for any resulting delays or damages.

b. Revisions: The Client agrees to promptly review and provide feedback on drafts and revisions submitted by the Company within the agreed-upon timeline. Failure to do so may result in project delays.

5. Ownership and Rights

a. Copyright: Unless otherwise specified in the agreement, the Company retains full copyright ownership of all video production work, including raw footage and edited content, until full payment is received. Upon payment, the Client shall receive a license to use the final Deliverables as outlined in the agreement.

b. Usage Rights: The Client is granted usage rights for the final Deliverables solely for the purposes outlined in the agreement. Any additional or commercial use beyond the scope of the agreement may require separate licensing and fees.

6. Client Responsibilities

a. Cooperation: The Client shall cooperate with the Company in all matters related to the Project, providing necessary information and approvals as requested.

b. Content and Releases: The Client is responsible for obtaining all necessary rights, permissions, and releases for any content, individuals, or locations featured in the video production.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the Project.

8. Termination

Either party may terminate the agreement in writing for any material breach of the terms and conditions. Upon termination, the Client shall pay any outstanding fees for work completed up to that point, including termination fees as specified in section 3b.

9. Liability and Indemnification

a. Limitation of Liability: The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the services provided.

b. Indemnification: The Client agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from the Client's use of the Deliverables.

10. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom, and any disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

11. Entire Agreement

These terms and conditions constitute the entire agreement between the Client and the Company and supersede any prior agreements or understandings.

By engaging in a contract or agreement with the Company, the Client acknowledges and accepts these terms and conditions in their entirety.
